Dealcierge is required to assess whether Investors / Buyers onboarded to the platform have the relevant knowledge or experience to understand the risks and features of the products before offering them. Dealcierge does this by assessing and classifying Investor / Buyer clients into one of the following categories.
Dealcierge is currently only able to onboard clients who are Institutional Investors, Accredited Investors, and/or Expert Investors onto our platform.
Exempt Investors
1. Institutional Investor
An Institutional Investor is as defined in the Singapore Securities & Futures Act.
If you are classified as an Institutional Investor, you will be able to access the products and services provided by or through us.
2. Accredited Investor
An accredited investor is a Corporation or Individual that meets the following thresholds:
A Corporation
- Corporation’s net assets > S$10 million in value (or its equivalent in a foreign currency); OR
- Corporation’s entire share capital is owned by one or more persons, all of whom is an AI.
An Individual
- Income in the preceding 12 months > S$300,000 (or its equivalent in a foreign currency); OR
- Financial Assets (net of any related liabilities) exceed in value S$1 million (or its equivalent in a foreign currency); OR
- Net Personal Assets exceed in value S$2 million (or its equivalent in a foreign currency), of which no more than S$1 million (or its equivalent in a foreign currency) in value is contributed by the net estimated fair market value of primary residence.
By accepting the Terms of the platform, you consent to be classified and treated as an Accredited Investor.
If you are classified as an Accredited Investor, you will be able to access the products and services provided by or through us.
General Notices for Accredited Investor
General Warning: Accredited Investors are assumed to be better informed, and better able to access resources to protect their own interests, and therefore require less regulatory protection. Investors who agree to be treated as Accredited Investors therefore forgo the benefit of certain regulatory safeguards. For example, issuers of securities are exempted from issuing a full prospectus registered with the Monetary Authority of Singapore in respect of offers that are made only to Accredited Investors, and intermediaries are exempted from a number of business conduct requirements when dealing with Accredited Investors. Investors should consult a professional adviser if they do not understand any consequence of being treated as an Accredited Investor.
If at any time you no longer wish to be treated as an Accredited Investor, you may opt out and cease to be treated as an Accredited Investor by reaching out to us in writing via the Dealcierge messaging system or at admin@dealcierge.io. Please allow us 14 business days from the date of receipt of your notice to effect your instruction. We will notify you once your status as a Non-Accredited Investor has been updated in our records. Please note that we will continue to treat you as an Accredited Investor until that date. This means that all services provided by Dealcierge will continue to be exempt under the relevant consent provisions.
As a Non-Accredited Investor, the products and services provided by or through Dealcierge cannot be made available to you.
3. Expert Investor
An Expert Investor means a person whose business involves the acquisition and disposal, or the holding, of capital markets products, whether as principal or agent.
If you are classified as an Expert Investor, you will be able to access the products and services provided by or through us.
Non-Exempt Investors
Dealcierge is only able to deal with Institutional Investors, Accredited Investors, and Expert Investors. If you are classified as a Non-Exempt Investor, the products and services provided by or through Dealcierge cannot be made available to you.
